‘Twas fourteen clear days before Christmas, a still night, but all was not silent at the Grotto Rooms. An emergency management meeting had been convened as the founder and CEO of Clause Pty Limited, a manufacturing, assembly and distribution business, had threatened to resign.
“It seems like I’ve been doing this for hundreds of years, I’m getting too old. This business seems to have lost some of its lustre.”
It was well-known to those present that the CEO had been badly shaken by the departure of principal founding elf and chief product-inventor, Mr Allenpaul. Mr Allenpaul was also a shareholder in Clause and had recently left to join a rival online operation, Deliver-as-fast-as-a-Vulcan 25 Limited. It was well known amongst those present that the CEO was concerned about the competition from this rival offering.
“We have a big gap to fill now elf Allenpaul has departed. Not only that, but what do we do about his shares?”
Mr Wiseman-Gold, Clause’s legal counsel, commented sagely, “the articles are well- drafted. It is very clear that Mr Allenpaul is a bad leaver....”
“But we did like old AP” added Mr Chrystal-Aitchtuwo, a large shareholder, somewhat frostily.
“No, no, a bad leaver is not necessarily a bad person, but because Mr Allenpaul left Clause of his own accord we only need to pay him one groat for his shares” said Mr Wiseman-Gold. “Also, he’s signed up to a non-compete, which means that he cannot work for Deliver 25 for another 12 months. And lastly, we have him on gardening leave at the moment so that he cannot be involved in the business of Deliver 25 over the forthcoming busy period.”
At this point Mt Giftmyrre, Clause’s Head of HR, stood up.
“I am pleased to announce that we now have a replacement. Mr Larry Sergey is a highly-accomplished elf with some extremely good ideas about accessing information, updating Clause’s processes and port-holes. Our skilled and secret recruiters have suggested that we need to update our processes, and a key aspect is access to research and data, and Mr Larry Sergey comes very highly regarded. He also knows about public offerings which is what we do, right?”
This interested the CEO. He wasn’t too clear on data and port-holes but he had heard of Mr Larry Sergey, and it was a clear benefit that he had experience working from little more than a garage. Good at public offerings too. Hmm.
Now on to one of his favourite subjects, the new propulsion system to improve the distribution and logistics of the business. This was being stewarded by his chief technical designer, Mr Blitzen, in tandem with Slae Systems, Inc.
