In July 2012, Allende & Brea advised JX Nippon Mining & Metals


Corporation with its bidding offer to acquire Gas and Metals National Corporation from Japan Oil. The purchase of the target company, for an undisclosed amount, was for purposes of developing mining projects in Chile and Argentina. The firm’s work on this deal included extensive due diligence. The firm also provides continued legal advice to the Bechtel Cor-


poration, with the construction of the El Pachón copper mine in Ar- gentina. In October 2011, Allende & Brea advised ADY Resources in the acquisition of lithium and other deposits from local mining com- panies in the Province of Salta. The firm’s work included legal due dili- gence, negotiation and execution of purchase agreements and assistance in tax and corporate matters.

Brons & Salas has operated in the Argentine legal market since the 1960s and has emerged as a leader in the world of Latin American cor- porate law. The firm also has an office in Uruguay, and it advises on all areas of law except for criminal law. Brons & Salas provided legal advice on one of the first exploration


projects for non-conventional resources in Argentina, located in the Santa Cruz province and has participated in the negotiation of the ex- tension of the respective Exploration Permits guaranteed by the province. Currently, the firm is advising Profertil on the challenge of charges fixed by the national government over gas tariffs payable by users. The transaction is worth an estimated $66 million. The firm is also currently counseling Azabache Energy on the con-


stitutionality of National Executive Decree Nbr. 1277/12 providing for the National Government intervention in the Hydrocarbon Market. In December 2012, the firm represented Brenntag Argentina in the purchase of Argentine, Chilean, and Uruguayan petrochemical distri- bution firms worth over $10 million.


in the public tender for Argentina’s biggest infrastructure project, the President Nestor Kirchner/Governador Cepernic hydroelectric plant. The firm assisted CGGC in the filings, registration and preparation of data required for filing an offer in the public tender. The deal is ongoing and is valued at $4.5 billion. In October 2012, the firm advised Apache Corporation on high-


profile tax litigation cases involving the tax-free reorganisation of its local operations. Also in October 2012, Beretta Godoy was an international counsel


to Asira United in the preparation, negotiating and closing of an option agreement for the funding and development of a Uruguay potassium project valued at $6.5 million by Cementos Pacasmayo.
