2010 Choctaw Electric Cooperative Annual Meeting clear of power lines OFFICIAL MINUTES


In accordance with CEC bylaws, cooperative members will be asked to approve the 2009 minutes at the upcoming CEC Annual Meeting on Saturday, September 25, 2011.


1. CALL TO ORDER


President Bob Holley called the 70th Annual Meeting of Choctaw Electric Cooperative to order at 11:00 a.m. Mr. Matlock introduced the Trustees and Attorney Bob Rabon.


Trustees present were:


Bill McCain, District A Henry Baze, District E Mike Bailey, District B Bob Holley, District G Bob Hodge, District C Larry Johnson, District H Buddy Anderson, District D Rodney Lovitt, District I


2. WELCOME


Terry Matlock, CEO for Choctaw Electric, welcomed the members and introduced special guests in attendance.


The Choctaw Nation Color Guard executed the posting of the colors ceremony and the Boy Scott Group #384, Antlers, led the Pledge of Allegiance to the flag. Stacie Pace sang the “National Anthem”. Reverend David Goff delivered the invocation.


Mr. Matlock highlighted the progress CEC has made in the past year and assured the group that CEC will continue to offer our members the most reliable service at an affordable price. Additionally Mr. Matlock thanked the members for their continued support of the cooperative.


3. DECLARATION OF QUORUM


Attorney Bob Rabon reported the bylaws stipulate that 5% of the members must be present in order to conduct business at an annual meeting. As of September 25, 2010, Choctaw Electric had a total of 12,861 members, five percent of that total being 643. As of 10:45 a.m., 1,111 members had registered. Therefore, Mr. Rabon announced that a quorum


No Trustee election was conducted. All incumbents were unopposed. Seated for another three years were incumbents Bill McCain, District A; Larry Johnson, District H; and Rodney Lovitt, District I.


6. Bylaw Amendments No bylaws changes were submitted for 2010.


7. GRAND PRIZE DRAWING


The Grand Prize of $1500.00 credit toward their electric bill was won by James Langley, Rattan.


8. ADJOURN There being no further business to come before the assembly the meeting adjourned at 11:45 a.m.

4. MINUTES OF ANNUAL MEETING 2009 Secretary/Treasurer Mike Bailey reported that the minutes of the business meeting conducted during annual meeting 2009 were published and made available at today’s meeting. President Bob Holley called for a motion to approve the minutes of September 26, 2009. A motion was made by Wayland Copeland and seconded by Earl Wright to approve the minutes as published in the September 2010 issue of the cooperative’s newsletter “Inside Lines”. The motion passed by a clear majority of ayes.
