MEMBERSHIP MEETING ON APRIL 1, 2016 Pursuant to notice, the 78th Annual Membership Meeting


MINUTES OF THE 78th ANNUAL


of the members of Harmon Electric Association, Inc., was held on Friday, April 1, 2016 in the Hollis Civic Center, City of Hollis, Harmon County, Oklahoma. The secretary declared a quorum of members was present


and registered with the following number registered at the meeting:

Said members present, consisting of at least fi ve percent (5%) of all duly accepted members of


constituted a quorum in accordance with Article III, Section 4 of the bylaws. Thereupon, the meeting was offi cially declared open for the transaction of business. The secretary-treasurer, Jim Reeves, kept the minutes of


the meeting. The invocation was given by Garland Jones. Burk Bullington, president, called the meeting to order


and welcomed the members to the annual meeting. A drawing of 7 - $50.00 cash prizes, one in each district,


was held at this time. Also, the name of the grand prize winner was drawn but would not be announced until the end of the meeting. Charles Paxton, General Manager, introduced the board of


trustees, employees and special guests including Chris Meyers of OAEC, Ron Cunningham and Eddie Lee of WFEC, Tyson Taussig of Geo Energy Services, Scott Copeland of Northfork Electric and Ron Wilson of R.E. Consulting. Other guests attending were former board members Billy Nowell, Bob Allen and Calvin Argo and Harmon Electric Retiree, Gary Rippetoe. Mr. Paxton then directed the members’ attention to the


Annual Report and to the Statement and Conditions printed in the annual report. Mr. Paxton discussed the completion of the FEMA project and the cost of this storm disaster. He explained the part to be paid by FEMA and that the remainder

would have to be recovered through rates. Mr. Paxton said that it appears there would be an over all increase in rates of 6%. Chris Meyers, OAEC, brought the membership up to date


on the EPA Clean Air Act and the problems it presented. He told the crowd that the Supreme Court had ruled a stay which put everything on hold at the time of this meeting. Taylor Smith spoke briefl y about her trip to Washington


D.C. as a 2015 Youth Tour Contest winner. She thanked Harmon Electric and the members for sending her on the trip. Ron Cunningham of Western Farmers Electric


Cooperative, spoke about Wind and Solar Power. Mr. Paxton presented to the members for approval, the


Notice of Annual Meeting, Certifi cate of Mailing, Certifi cate of Duly Accepted Members, and 2015 Annual Membership Meeting Minutes. It was moved by Billy Nowell and seconded by Gary Rippetoe to dispense with the reading of said notice, certifi cates and minutes and said items be approved. Motion Carried. Mr. Paxton announced the next order of business would


be voting for trustees. The candidates that have qualifi ed for nomination pursuant to Article III, Section 7 for election are the following:


District 3 Lee Sparkman District 7 J. R. Conley


There being no quorum in Districts 3 and 7, Mr. Paxton


announced the seating of Lee Sparkman, District 3 and J. R. Conley, District 7. A drawing of door prizes was held at this time. The manager then called for any old business or questions,


there were none presented. Mr. Paxton called for new business to be presented and there being none he declared the business session of the meeting closed. A fi nal drawing of the $50.00 cash prize was held and the


announcement of the big screen TV grand prize winner. There being no further business, the meeting was declared


adjourned.
