NOTICE OF DECREASE IN THE AUTHORIZED CAPITAL STOCK OF CIP II POWER CORPORATION


Notice is hereby given that at the meeting of the stockholders of CIP II POWER CORPORATION, held at the Penthouse, Phinma Plaza, 39 Plaza Drive, Rockwell Center, Makati City on December 8, 2010, at which meeting there was a quorum, the stockholders representing at least two-thirds (2/3) of the outstanding capital stock in person or by proxy, approved the decrease of the corporation’s authorized capital stock from SIX HUNDRED FORTY MILLION PESOS (P640,000,000.00) to THREE HUNDRED TWENTY MILLION PESOS (P320,000,000.00).


Bids received in excess of the ABC shall be automatically rejected at bid opening.


2. The Government Arsenal, Department of National Defense now invites bids for Modification of Electric Heating System for CBD. Completion of the repair is within ninety (90) calendar days upon receipt of Notice to Proceed.


Bidders should have ongoing and completed single contract similar in nature and complexity to the


contract to be bid within ten (10) years from the date of submission and receipt of bids and whose value must be at least 25% of the ABC. The description of an eligible bidder is contained in the Bidding Documents, particularly, in Section II. Instructions to Bidders.


3. Bidding will be conducted through open competitive bidding procedures using a non-discretionary “pass/fail” criterion as specified in the Implementing Rules and Regulations (IRR) of Republic Act (RA) 9184, otherwise known as the “Government Procurement Reform Act”. Bidding is open to all interested bidders, whether local or foreign, subject to the conditions for eligibility provided in the IRR of RA 9184.

In a verified petition, Metropolitan Bank & Trust Company alleges, among other things, that it is a banking corporation duly organized and existing order Philippine laws, with principal offices at Metrobank Plaza Building, Sen. Gil J. Puyat Avenue Extension, Makati City; that on 15 June 2001, SRA Inc., Architects and Engineers, represented by Eduardo T. Romualdez III and Restituto T. Sistoso Jr. obtained a loan from Global Business Bank, Inc. (GBBI) successor-in-interest of Asianbank Corporation, now Metropolitan Bank & Trust Company (Metrobank) in the principal amount of THREE MILLION THIRTY THREE THOUSAND FIVE HUNDRED SIXTY-SIX PESOS and 89/100 (P3,033,566.89), for which said borrowers duly executed a promisory note identified as PN No. 916.889377.6423.000.99.3926600000171; that to secure payment of said loan, SRA Inc., Achitects and Engineers, represented by its duly authorized representatives, Messrs. Eduardo T. Romualdez III and Restituto T. Sistoso Jr., executed a Real Estate Mortgage for P1,600,000.00 dated 08 April 1996 and Amendment of Real Estate Mortgage for P7,600,000.00 dated 21 July 1997 in favor of GBBI over ten (10) condominium units together with improvements existing thereon located at 8 Hoover Place Condominium, Brgy. Addition Hills, San Juan City among which are covered by Condominium Certificates of Title Nos. 8895-R, 8896-R, 8898-R, 8901-R issued by the Registry of Deeds for San Juan City the owner’s duplicate copies of which were surrendered to petitioner; that GBBI was subsequently merged with petitioner Metrobank, with the latter as the surviving bank; that by operation of law, petitioner Metrobank became the eventual owner of all the assets of GBBI; that on 29 June 2010, by reason of the failure of SRA, Inc., Architects & Engineers to pay its obligation, petitioner caused the sale of the above-described real properties at a public auction where it emerged as the highest bidder, as evidenced by a certificate of sale; that in the process of consolidation, petitioner cannot find Condominium Certificates of Title Nos. 8895-R, 8896-R, 8898-R and 8901-R; that diligent efforts were exerted to locate the said lost certificates of title, but to no avail; that the loss thereof may have occurred during the transfer of the account from one person to another; that the fact of said loss was duly reported to the Office of the Registry of Deeds for San Juan City by way of an affidavit of loss dated 01 October 2010 executed by petitioner’s representative Ms. Rosemarie B. Pinlac for said purpose and duly filed with the aforementioned office on 12 October 2010; that the aforementioned owner’s duplicate copies of Condominium Certificates of Title Nos. 8895- R, 8896-R, 8898-R and 8901-R were in full force and effect at the time of loss and that the same are not subject of any litigation or investigation, administrative or judicial, regarding the genuineness and due execution thereof nor transferred to any person by way of sale, mortgage or otherwise and not levied/ confiscated by any officer of the law.


Finding the petition to be sufficient in form and substance, it is set for hearing on 21 February 2011,


at 8:30 o’clock in the morning, before this court at the Ground Floor, Arena Parking Building, Santolan corner P. Guevarra Streets, San Juan City. All interested parties are cited to appear and show cause why the same should not be granted.


Send a copy of this order with the petition and its annexes to the Land Registration Authority, the


San Juan City Registry of Deeds, and all interested parties as inscripted in the title of the property, if any.


Let a copy thereof be posted by the sheriff of this branch for a period of thirty days prior to the initial hearing in three (3) conspicuous places, i.e., entrances to the Registry of Deeds, San Juan City Hall and the barangay hall of Addition Hills, San Juan City, as well as the premises of the subject property.
