Terms & Conditions for Catalogue 2018
(Please note ALL prices stated in this catalogue are Ex-VAT) These Terms apply to all contracts for the sale of goods by the company and no amendment alteration, waiver or cancellation of these terms is binding on the company unless confirmed by the Company in Writing.
ORDERING When placing an order always quote reference codes, coupled with descriptions and colourways. To qualify for an agreed trade discount, purchases will be required in boxed quantities per line - the bracketed number by each product. We will increase order quantities to the next box level if orders are received below the boxed amount.
PRICES Prices in the catalogue supersede all previous price lists and show the suggested Creativity International retail price, excluding VAT. As this is an annual catalogue, some prices may have to change but price changes will only occur in exceptional circumstances. Prices quotations are available on request by phone, letter, fax or email. All prices are shown in £’s and are for single units. Prices are determined at the time of order and prior to payment and subject to change without notice.
TRADE DISCOUNTS AND CREDIT ACCOUNTS Credit accounts can be made available for bona fide trade customers and will be offered subject to receipt of satisfactory trade references. Payment on Credit Accounts. Will be net and due 30 days invoice date. Trade discounts are available for bulk purchases and are dependent on buying items in boxed quantities. Credit Terms and discount levels will be agreed on an individual basis.
PAYMENT Payments are to be made to the Company without any deduction or discount other then stated in Terms. The balance of the invoice must be made in full, in line with the Customer’s account payment Terms. Any balances not paid in line with Terms may be passed to an outside collection agency and the Customer will be liable to pay any fees incurred.
QUERIES (a) All claims for non-delivery of goods must be made with in 10 days of the invoice date in writing. (b) Incorrect or damaged goods must be reported to our Customer Services Department within 3 days of the receipt of goods for claims to be considered. (c) Please do not send back goods unless requested to do so by our Customer Services Department.
CARRIAGE AND PACKING CHARGES Carriage and Handling Charges will be charged at cost on orders below the individually agreed carriage paid level. All goods are supplied subject to availability using third party carriers. The Company reserves the right to deliver the goods in whole or in installments as well as deliver prior to the date for delivery.
VAT All prices shown in the catalogue exclude VAT. This will be added at the prevailing rate.
EXPORT VAT will not be charged on deliveries outside of the UK when a valid VAT number is provided. All prices are ex- works. Freight and insurance will be charged at cost unless otherwise agreed. The minimum order value for export customers is £500 net.
LICENSED TERRITORIES Licensed Products are available in the UK and Eire only.
RETENTION OF TITLE - ALL MONIES CLAUSE Legal and beneficial ownership of the Goods will not pass to the Customer until such a time the Goods have been paid in full in cash or cleared funds. Until the payment of all monies due under the business relationship including any finance bills or return bills which may exist, the Company retains title in the Goods delivered by him, which may only be sold on in the course of the Customers normal business dealings. Creativity International retain the title to all goods delivered until all sums owed are paid for in full.
RISK AND INSURANCE The Goods are entirely at the risk of the Customer from the moment of delivery to the Customers point of delivery or on collection, even though the title in the Goods has not passed at that time. The Customer must, at its own expense, maintain the Goods and insure them for the benefit of the Company against theft, breakdown, fire, water and other risks as from the moment of delivery to the Customer until title in the Goods has passed to the Customer.
CANCELLATIONS No order may be cancelled, modified or deferred without prior written consent of the Company. If such consent is given it is, at the Company’s election, subject to the Company being reimbursed all losses, including loss of profits, and paid a cancellation fee.
CONTRACT The terms of the Contract are wholly contained in the Terms and any other writing signed by both parties. The Contract is deemed to have been made at the Company’s place of business where an order was placed and any cause of action is deemed to have arisen there.
RIGHT TO ENTER PREMISES Should any of the circumstances referred to in the Retention of Title Clause arise: (a) Authorises the Company by itself, its agents or representatives at all reasonable times, without notice, to enter onto and to remain in and on any premises where the Goods are located in order to collect the Goods, without being guilty of any manner of trespass; and (b) Assigns to the Company all the Customers right to enter onto and remain in and on such premises until all the Goods have been collected.
