TERMS & CONDITIONS OF SALE TERMS


Payment is due on receipt unless otherwise agreed to. No cash discounts, anticipation or ad allowance.


A Sales Confirmation will be issued for all orders. Customer must review for errors or omissions. If a Sales Confirmation is not issued to you, we do not have your order.


New accounts must pay by credit card or check when order is placed.


Personalized and custom orders require a 50% nonrefundable deposit when order is placed. Once a Sales Confirmation has been issued the order is non- cancelable.


Marguerite Dorger, LLC. accepts Visa and MasterCard only. No chargebacks are accepted or agreed to.


ORDERS


Opening order is $500. Minimum re-order is $300.


A small order charge of $50 will be added to all orders under $300.


All orders are placed with the factory within 24 hours of receipt from the customer. A Sales Confirmation is issued at this time. All orders are made to order and shipped monthly from the factory. There is no inventory in the United States and returns are not accepted.


Attention must be paid to the box requirements listed in the price book. These quantities reflect packaging configurations from Vista Alegre and are designed to help protect items in transit. We must adhere to these requirements in order to minimize risk of damage or breakage.


SHIPMENTS AND DELIVERIES


All products are shipped F.O.B point of shipment. Risk of loss shall transfer to the Buyer upon tender of goods to Buyer, Buyer’s representative or common carrier. The cost of any special packaging or special handling caused by Buyer’s requirements or requests shall be added to the amount of the order. If Buyer causes or requests a shipment delay, or if Seller ships or delivers


CLAIMS


All orders are checked thoroughly to avoid errors and every effort is made to insure that all orders are shipped complete. If a discrepancy exists, please carefully re-examine all packing materials. Marguerite Dorger, LLC must receive written notification within 24 hours of delivery if there is a shortage. Recipient must contact appropriate carrier to file a claim.


GOVERNING LAW


The contract for Sale of Goods shall be governed by the laws of the State of Connecticut.


NON-WAIVER


Seller’s failure to insist upon the strict performance of any term or condition herein shall not be deemed a waiver of any of Seller’s rights or remedies hereunder, nor of its right to insist upon the strict performance of the same or any term herein in the future. No waiver of any term or condition hereunder shall be valid unless in writing and signed by Seller.


the product erroneously as a result of inaccurate, incomplete or misleading information supplied by Buyer or its agents or employees, storage and all other costs and risks shall be borne solely by Buyer. Claims for products damaged or lost in transit should be made by Buyer to the carrier, as Seller’s responsibility ceases upon tender of goods to Buyer, Buyer’s representative or common carrier.


ASSIGNMENT


The contract for sale of the Goods is not assignable in whole or in part by Buyer without the written approval of Marguerite Dorger, LLC and any attempted assignment shall be void.


RETURNS


Due to the nature of our distribution procedures, no returns will be authorized or accepted. Each piece is made to order for the specific sales order placed by the customer. Marguerite Dorger, LLC does not maintain a warehouse or inventory, therefore returns are not possible.
