MINUTES CHOCTAW ELECTRIC COOPERATIVE


Special Board of Trustees Meeting April 1, 2015 • Hugo


The Board of Trustees of Choctaw Electric Cooperative, Inc. met in special session at the CEC headquarters office in Hugo, Oklahoma, Wednesday , April 01, 2015.


CALL TO ORDER


There being a quorum present, Vice- President Danny Antwine called the meeting to order at 10:00 a.m. Ms. Marcia Wright delivered the invocation and led the Pledge of Allegiance to the Flag. Those Trustees present were:


George Burns, District A Norman Ranger, District F Joe M. Silk, District B Danny Antwine, District G James Woods, District C Mike Brewer, District H Andrea Slaton, District D Marcia Wright, District I Neil Birchfield, District E


A. Executive Session


A motion was made by Mr. Burns and seconded by Ms. Slaton to convene in executive session.


A motion was made by Mr. Brewer and seconded Mr. Birchfield to return to regular session.


ADJOURN


There being no further business to come before the board, the meeting adjourned at 2:00 p.m. upon a motion made by Mr. Brewer and seconded by Ms. Wright.

Member Comittee Reviews Co-op Bylaws


A special committee of member volunteers and Choctaw Electric trustees met April 21 and April 24 to discuss possible changes to the Choctaw Electric bylaws.


For committee members, the meetings provided a crash course in co-op history and the bylaw compliance process followed by lengthy discussion and review of suggested bylaw changes.


Committee members voiced concern on a variety of topics including term limits, open meetings/open records, trustee elections and vacancies, redistricting, mail in/electronic ballots, satellite meetings, removal of trustees and trustee nominations.


One of the committee’s first tasks required members to prioritize items of concern. They agreed that the following items take precedence:


• Article XV/Amendment • Article IV/Trustees


• Article V/ Meeting of Trustees


Thirteen sections of the CEC bylaws are being discussed. Nine will be reviewed it length.


The groups agreed to create subcommittees to review Article V and Article IV. These committees will prepare a report for review by the bylaw committee at their next meeting on May 21 at the Idabel Chamber of Commerce.

Andrea Slaton Board Elects Officers


The Choctaw Electric Cooperative board of trustees elected officers at their official board meeting on April 28.


The following trustees were elected: George Burns, District A, president; Andrea Slaton, District D, vice president; and Mike Brewer, District H, secretary/treasurer.


Candidates For CEC Board Must File By July 28 Deadline


Choctaw Electric Cooperative (CEC) members interested in running for a seat on the CEC board of trustees must submit their intention to run by July 28, 2015.


According to cooperative bylaws, any challenger for nominations to the office of the trustee must submit a petition signed by 25 members within their CEC voting district to be eligible for the election. The petitions must be submitted to CEC’s Hugo office by 5 pm on Tuesday, July 28.


The CEC bylaws define the specific qualifications for board members in Section 4.02. These guidelines require board members to live in the district they represent. Board members must also be willing to attend training to earn certification as a qualified rural electric cooperative director. Certain restrictions ensure the CEC board remains fair and unbiased as they make decisions pertaining to electric service in southeast Oklahoma.


This year cooperative members will elect representatives for Districts D, E, and F. The election will take place at the CEC Annual Meeting on Saturday, September 26, 2015 in Hugo.


CEC board qualifications and proper nomination procedures are printed in your co-op bylaws. CEC bylaws are available online at www.choctawelectric.coop or pick up a copy at the CEC office in Hugo.
