A Message from Your President of the Board of the Trustees


In the June Electralite, we pro- vided all our members with a copy of the report of the Oklahoma Cor- poration Commission (OCC) investi- gation into the allegations related to the Canadian Valley Electric Coop- erative and Central Rural Electric Cooperative consolidation. Also, I discussed that your Board was work- ing on an action plan to be submit- ted to the OCC for approval and that part of that plan would be some by-law changes which we would communicate to you. In addition, at the annual meeting in September we would ask that you approve these by-law changes.


I am pleased to inform you the Board has taken this endeavor seriously and the proposed by-law changes are included in this Electral- ite for your review well ahead of the annual meeting. Please take time to review them, and then plan to attend the annual meeting and support these changes in order to help make your Board more responsive and effective when dealing with Board responsi- bilities.

V ELECTRALITE SUPPLEMENT TO OKLAHOMA LIVING RESOLUTION To Amend Article IV Section 2


WHEREAS, the Public Utility Division of the Oklahoma Corporation has com- pleted its investigation concerning member allegations which report is dated February 24, 2016; and


WHEREAS, in the Final Report of the Public Utility Division of the Oklahoma Corporation, the Public Utility Division of the Oklahoma Corporation requested Canadian Valley Elective Cooperative, Inc. to develop an action plan to be submitted to the Oklahoma Corporation Commission outlining steps that will be taken to ensure board members do not violate policies and work in a manner conducive to the overall good of the members of Canadian Valley Elective Cooperative, Inc.; and

BE IT THEREFORE RESOLVED, that it is in the best interest of Canadian


Valley Electric Cooperative to amend Article IV Section 2 of the Bylaws of Canadian Valley Electric Cooperative, Inc. to read as follows:


ARTICLE IV 6HFWLRQ 4XDOL¿FDWLRQV


The persons named as trustees in the Articles of Incorporation or their successors, duly appointed or elected, shall compose the board of trustees until their successors are elected in the district meetings as hereinafter provided. Trustees elected shall serve until their successors are elected DQG TXDOL¿HG


1R SHUVRQ VKDOO EH HOLJLEOH WR ¿OH DV D FDQGLGDWH IRU EHFRPH RU UHPDLQ D WUXVWHH RU to hold any position of trust in the Cooperative who:
