Board of Directors meeting minutes—unapproved

Charlene Petragallo led the Pledge of

Allegiance. CHANGES TO THE AGENDA Two items were added under New

Business - Racquet Membership Fees and Palms Course Topographic Survey. CALL TO ORDER President Charlene Petragallo called the

meeting to order at 9:05 a.m. The meeting was held in the Oakwood Clubhouse Ballroom. Board Members present included Ms. Petragallo, Vice President Wayne Karp, Secretary David Peters, Treasurer Dave Wigton, Assistant Treasurer Jim Willsey and Members at Large Joe D’Amore and Bob Prezkop. General Manager Clark Champion and

Controller Jennifer Terry also attended the meeting. A quorum was present. APPROVAL OF AGENDA With the above changes, the agenda

was declared approved. APPROVAL OF MEETING MINUTES Mr. Peters made the motion to approve

the July 24, meeting minutes and August 12, workshop minutes. The motion passed. COMMITTEE REPORT Election Committee – Ms. Applegate

reported nominations will be open on September 3, for three board seats that will need to be fi lled as of January 2014. The report is included with these minutes and posted on the IronOaks website. OLD BUSINESS Resolution: Golf Course Memorials –

Mr. Willsey read a resolution that the Board of Directors received as a recommendation from the Director of Golf and the Golf Committee to adopt a policy regarding placing memorials on the IronOaks golf courses. Mr. Willsey’s recommendation was to table the resolution. The resolution was tabled. NEW BUSINESS A. Cell Tower Lease: Mr. Karp read

a resolution to approve the signing of a lease with AT&T to build a cell

tower in

the maintenance yard near the Champagne Drive gate. The resolution passed unanimously. B. Resolution: Double Gas Fryer

Oakwood - Mr. Prezkop read a resolution, a recommendation from the Association’s executive chef

to replace the gas fryer in

the Oakwood Clubhouse kitchen. The resolution passed unanimously. C.

Resolution: 2014 Fitness Fee

Schedule - Mr. Wigton read a resolution, a recommendation from the Association’s Fitness Committee to approve the attached membership fee schedule for 2014. The

resolution passed unanimously. D. Resolution of Reserve Study - Mr.

Wigton read a resolution to approve the Reserve Study as presented at the August 9, workshop with subsequent amendments. There will only be one fi nancial account for all reserve monies. Expenditures related to the golf part of reserve study on one hand and expenditures related to non-golf part of reserve study on the other hand, shall be separately reported. The resolution was passed unanimously. E. Resolution: Adoption

of Reserve

Funding Plan - Mr. Wigton read a resolution stating that it would be in the best interest of the association to adopt a new funding plan to ensure there are suffi cient monies in the reserve fund for all items covered in the reserve study. The Funding Plan and schedule are attached to these minutes. The resolution passed unanimously. F. Resolution: Adoption of Special

Assessment - Mr. Wigton read a resolution funding plan related to the Reserve Study, which plan provides for a $200 Special Assessment in 2013. The resolution passed unanimously. G. Resolution: Ironwood Clubhouse

Restrooms Renovation - Mr. Peters read a resolution to approve the renovation of the restrooms at the Ironwood Clubhouse. The resolution passed unanimously. H. Resolution: Palms Golf Course

Replacement Pump Station and Irrigation Redesign - Mr. Willsey read a resolution from the Association’s Golf Management and Golf Committee to replace the pumping station and redesign the irrigation system for the Palms Golf Course. The resolution passed unanimously. I. Resolution: Staff Advantage Program

- Mr. Clark read a resolution to adopt an employee advantage program. The program is designed to provide parameters on use by employees of amenities and food service. The resolution passed unanimously. J. Resolution: Design

Services Pickleball Courts - Mr. Prezkop read a

resolution to approve preliminary design services for conversion of tennis court Nos. 3 and 4 to Pickleball courts. The resolution passed unanimously. K. Resolution: Racquet Center

Topographic Survey and Grading/Drainage Plan – Mr. Willsey read a resolution to approve the topographic survey


preparation of a grading and draining plan for conversion of tennis court Nos. 3 and 4 to Pickleball courts. The resolution passed unanimously.
