be negotiated upon your written request prior to commencement of our services, and agreement to
provide an additional fees.
8. The Client’s obligation for indemnification and reimbursement shall extend to any controlling person
including any Director, Officer, Employee, Subcontractor, Affiliate or Agent of the APPRAISER.
9. If in the future the APPRAISER is called on to testify in court or at deposition regarding the written
report, the APPRAISER will be paid the equivalent of $240.00 + GST per hour charged by the
APPRAISER to cover professional time, the gathering of materials, reviewing the case and preparing
for testimony along with any other reasonable expenses incurred.
10. If called on to defend this report to any other party, the APPRAISERS expenses and hourly rate (as
listed in 9. Above) will be billed on a monthly basis or as incurred.
11. The Client will be responsible for legal costs incurred by the APPRAISER when defending this
appraisal.
12. The reader agrees and accepts, without reservation, that the Limiting Conditions as stated in the
report will be acceptable.
13. As a result of previous communications and at the Client’s request, we will report this appraisal
based on the use of Fair Market Value in a ‘Going Concern’ business and THE APPRAISER
assumes no responsibility for errors in data available from sources external to THE APPRAISER.
14. The information contained in this report has been provided verbally and in written format by the Client
or their Professional and/or Financial Advisers and whilst THE APPRAISER believes it to be
accurate THE APPRAISER has not investigated the accuracy of the information given to THE
APPRAISER, verified it, audited it, nor gone through any due diligence process in relation to it. It is
the readers responsibility to satisfy themselves as to the accuracy of the information contained in this
report in conjunction with their professional advisers in a formal due diligence process.
15. Possession of this report or a copy thereof does not carry with it the right of publication. The report
may not be used for any other purpose, in whole or in part, by anyone except the Client , his/her
advisers, or taxation agencies and for whom the appraisal was prepared without the previous written
consent of THE APPRAISER.
16. Should new information be discovered that would alter the opinion of the report or an error in the
report found, THE APPRAISER reserves the right to change the report.
